Korrway Network Terms

Version 2026-10. These terms apply to every buyer and every supplier on the Korrway network and to everything they exchange through it.

1. What these terms cover

Korrway is a procurement platform operated by Vykorr ("Korrway", "we"). Buyers use Korrway to run requests for quotation, orders and deliveries. Suppliers use Korrway for Suppliers to receive requests, quote, and fulfil orders. These Network Terms apply to every buyer workspace and every supplier account, and to every interaction between them that happens through Korrway.

By creating a workspace or a supplier account, or by accepting an invitation, you agree to these terms on behalf of the company you represent and confirm you are authorised to do so.

2. Korrway is the venue, not a party

Korrway introduces buyers and suppliers and keeps the record of what they exchange. Korrway is not a party to any quotation, purchase order, contract, delivery or payment between a buyer and a supplier. Those are formed directly between the buyer and the supplier, on the terms they agree, and each is responsible for its own performance.

Korrway does not guarantee that any request will receive quotes, that any quote will be accepted, that any order will be fulfilled, or that any payment will be made.

3. Confidentiality between a buyer and a supplier

Everything a buyer shares with a supplier through Korrway (requests, line items, quantities, artwork, designs, specifications, samples, drawings, prices, counter offers, messages and attachments) is confidential to that buyer and that supplier. The supplier may use it only to prepare a quote for, and fulfil an order from, that buyer.

A supplier must not share, show, copy, reuse, resell or adapt a buyer's materials for any other customer, including other buyers on Korrway, and must not use them to produce goods for anyone other than that buyer unless the buyer agrees in writing.

Everything a supplier shares with a buyer (prices, quotes, lead times, capacity, certificates, documents and messages) is confidential to that buyer. A buyer must not share a supplier's quote or pricing with other suppliers to obtain a better price, and must not disclose it outside the buyer's own organisation except to its advisers.

These obligations continue after a request closes, after an order is completed and after either party leaves Korrway. They do not apply to information that is already public through no fault of the receiving party, or that the receiving party is required by law to disclose.

4. Materials and intellectual property

Each party keeps ownership of its own materials. Artwork, designs and specifications remain the buyer's. Supplier documents, certificates and know-how remain the supplier's. Accepting an invitation, quoting or fulfilling an order gives the other party only the limited right to use materials for that request or order.

Korrway stores materials to operate the service and to keep the record both parties rely on. Korrway does not claim ownership of either party's materials and does not use them for any purpose other than operating and improving the service.

5. Buyer-specific terms

A buyer may publish its own supplier terms (for example a non-disclosure agreement or a supplier code) on Korrway. When a buyer has done so, a supplier must accept those terms before it can view the details of that buyer's requests or submit a quote. Acceptance is recorded with the accepting user, the time, and the version accepted, and both parties can download the acceptance record.

Buyer-specific terms sit alongside these Network Terms. Where they conflict on a matter between the buyer and the supplier, the buyer-specific terms prevail between those two parties. Nothing in buyer-specific terms changes Korrway's role or responsibilities.

6. Conduct on the network

Keep your profile, documents and contact details accurate. Quote only when you intend to fulfil. Respond to orders you have accepted. Treat the other party's staff with professionalism. Do not use Korrway to contact the other party's customers or staff for purposes outside the request or order.

Do not attempt to access data that is not yours, probe or disrupt the service, or share your login with anyone outside your company. Team members you add are your responsibility.

7. Verification, tiers and ratings

Korrway may review documents a supplier uploads and show a verified badge. Verification means Korrway reviewed the documents presented at that time; it is not a guarantee of the supplier's performance, solvency or legal standing. Tiers are calculated from activity on Korrway and ratings given by buyers. Korrway may recalculate, correct or remove a tier or badge at any time.

Buyers rate deliveries honestly and on the delivery itself. Ratings are shown to the supplier as scores; individual buyer notes are not shown to suppliers.

8. Data

Korrway processes business contact details and transaction records to operate the service, in line with the Korrway Privacy Notice. Each party is responsible for having the right to share any personal data it enters. Korrway keeps the transaction record for as long as either party's workspace or account exists and for a reasonable period afterwards to meet legal and audit needs.

9. Breach, suspension and removal

If a party reports that the other has broken these terms, Korrway may ask both parties for information, may restrict the account concerned while it looks into the report, and may suspend or remove a party from the network. Korrway decides whether to restrict access to the service; it does not decide the dispute itself, award damages or act as arbitrator.

Removal from the network does not end the obligations already owed between a buyer and a supplier, including confidentiality.

10. Liability

Korrway provides the service as it is, and will take reasonable care to keep it available and secure. To the extent permitted by law, Korrway is not liable for any loss arising from a transaction between a buyer and a supplier, from a party's breach of confidentiality, from the content either party uploads, or from a decision made in reliance on a verification, tier or rating. Korrway's total liability to a party in any twelve-month period is limited to the fees that party paid Korrway in that period.

Nothing in these terms limits liability for fraud or for anything that cannot be limited by law.

11. Governing law

These Network Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have exclusive jurisdiction over any dispute with Korrway. Disputes between a buyer and a supplier are governed by whatever law and forum they have agreed between themselves.

12. Changes

Korrway may update these terms. When it does, each party is shown the new version and asked to accept it before continuing to use the network. The version and the exact text each party accepted are kept on record.
